By using our Services, you acknowledge that you have read, understood, and agreed to these Terms of Service.

1. Introduction

Welcome to Pyxida Digital Business Development (Pty) Ltd. (“we,” “us,” or “our”). By accessing and using our services, you agree to comply with and be bound by these Terms of Service. These terms govern your access to and use of our services, including but not limited to our website development, marketing, and business consulting services. Please read these terms carefully before engaging with our services.

2. Services Offered

At Pyxida Digital Business Development (Pty) Ltd., we provide a wide range of professional services tailored to meet the unique and dynamic needs of our clients. Our offerings include, but are not limited to:

  • Website Repairs
  • Website Optimisation
  • Website Maintenance
  • E-Commerce Websites
  • Copywriting
  • Business Registration
  • Business Strategy
  • Brand Development
  • Graphic Design
  • Marketing

3. Payment Terms

Payment Structure: Clients are required to make an upfront payment of 50% of the total project cost when initiating a project. The remaining 50% is due upon completion of the project. For clients seeking expedited processing, we encourage full upfront payments to streamline the process and reduce administrative delays.

Outstanding Balance Policy: If the remaining balance is not settled within 7 days of the project's completion, we will suspend your website and halt any other digital services provided (such as social media management). Access to graphic design work will also be restricted. A letter of demand will be issued after this 7-day period. If the balance remains unpaid after 14 days, we reserve the right to initiate legal action or pursue other remedies available by law.

Late Payment Penalties: Invoices overdue by more than 14 days will incur a R150 flat late fee. If the invoice remains unpaid for more than 30 days, a 5% monthly compounding interest will be added to the total outstanding amount. Pyxida reserves the right to escalate unresolved invoices to legal action or collection services.

Call-Out Fees:

  • Physical Call-Outs: For any physical site visits or in-person meetings, we charge a call-out fee starting at R250/hour. If the project is awarded to us, we may waive this fee either partially or fully, depending on specific factors related to the project and agreement.

  • Virtual Meetings: Virtual meetings via phone call, WhatsApp call, Zoom, or Google Workspace meetings are billed at R170/hour. As with physical call-outs, this fee may be waived partially or fully if the project is awarded to us.

Changes to Work: For all projects, clients are entitled to 3 minimal changes at no additional cost. Should further modifications be required beyond the included changes, these will be billed at the following rates:

  • Graphic Design: From R75.00/hour
  • Marketing: From R125.00/hour
  • Websites: From R150.00/hour
  • Other Services: Will be billed hourly at rates starting From R75 - R150, depending on the nature of the service.

Installment Plans: For ongoing services, such as website maintenance or digital marketing, installment plans may be arranged upon request. These are subject to approval and may incur administrative fees. The installment agreement will outline clear payment terms to ensure continuity of services.

Accepted Payment Methods: We accept payments via Electronic Funds Transfer (EFT), PayFast, and cash (where applicable). EFT (Pay and Clear) is our preferred method due to its speed and security.

Refunds Policy: Due to the nature of our services, we do not offer refunds for any services rendered. All payments made to Pyxida Digital Business Development (Pty) Ltd. are non-refundable once the services have been delivered to the client.

4. Client Responsibilities

At Pyxida Digital Business Development (Pty) Ltd., we believe that successful outcomes are achieved through collaboration and mutual respect. Our clients are expected to meet the following obligations:

Clear Communication: To ensure smooth progress, clients must communicate their expectations, requirements, and feedback clearly and promptly. Open and transparent communication is essential to avoid misunderstandings and ensure that the final deliverables align with the client’s vision.

Respectful Conduct: We value a professional working environment. Clients are expected to interact with our team members with respect and courtesy at all times. Abusive behavior, harassment, or disrespect towards our staff may result in the termination of the agreement.

Reasonable Requests: We expect clients to make reasonable requests within the scope of the agreed-upon project. Excessive demands outside the initial project parameters may affect timelines and incur additional costs.

Timely Payments: Clients must adhere to the payment schedules outlined in the agreement. Late or missed payments may result in project delays or suspension of services.

5. Ownership of Work

We maintain clarity and transparency when it comes to the ownership of intellectual property created during our projects.

Intellectual Property Rights: Unless otherwise stated, all work created by Pyxida Digital Business Development (Pty) Ltd., including but not limited to website design, graphics, written content, and software code, remains the intellectual property of Pyxida Digital Business Development (Pty) Ltd.

Ownership Transfer: We grant clients a non-exclusive, revocable license to use the intellectual property created for them, solely for the purposes outlined in the project scope or agreement. Unauthorized reproduction, distribution, or modification of any of the assets without prior consent is prohibited.

Usage Rights: Clients are granted a non-exclusive, revocable license to use the intellectual property assets provided by Pyxida Digital Business Development (Pty) Ltd. solely for the intended purposes outlined in the project scope or agreement. Any unauthorized use, reproduction, distribution, or modification of intellectual property assets without prior written consent is strictly prohibited.

6. Confidentiality

We take the confidentiality of our clients’ information seriously and implement strict protocols to safeguard all sensitive data.

Non-Disclosure Agreement: All confidential information shared by clients during the course of our business relationship, such as business plans, trade secrets, financial data, or proprietary information, will remain private. We do not disclose this information to third parties without the client’s express written consent.

Confidentiality Undertaking: All our team members, subcontractors, and associates are required to sign confidentiality agreements and adhere to internal policies that prevent unauthorized access, use, or disclosure of sensitive information.

Data Protection Measures: We employ robust security measures, including encryption, access controls, and data protection protocols, to safeguard our clients' sensitive data from cyber threats or unauthorized access.

7. Termination of Agreements

We aim to foster long-term relationships with our clients, but there may be instances where termination is necessary.

Breach of Contract: If a client violates any of the terms and conditions outlined in the agreement, Pyxida Digital Business Development (Pty) Ltd. reserves the right to terminate the contract with immediate effect.

Non-Payment: Failure to make timely payments or defaults on payment obligations may lead to the termination of the agreement after providing reasonable notice.

Unprofessional Conduct: Any conduct by the client that is deemed unprofessional, including but not limited to abusive behavior or unethical practices, may result in immediate termination of services at our discretion.

8. Dispute Resolution:

While we strive to deliver exceptional service, disputes may occasionally arise. In such instances, we are committed to resolving any conflicts fairly and efficiently.

Mediation: Should a dispute arise, both parties agree to attempt to resolve the matter through mediation facilitated by a neutral third party. Mediation allows for an amicable resolution before escalation to legal proceedings.

Costs: The party initiating mediation will bear the costs associated with the process, including mediator fees and administrative expenses, unless otherwise agreed by both parties.

Binding Arbitration: If mediation does not resolve the issue, both parties agree to submit to binding arbitration, where the decision of the arbitrator will be final and enforceable.

9. Governing Law

These terms and conditions are governed by the laws of the Republic of South Africa. Any legal disputes or claims arising from these terms will be subject to the jurisdiction of the South African courts.

10. Changes to Terms

Pyxida Digital Business Development (Pty) Ltd. reserves the right to modify or update these terms and conditions at any time. Clients are encouraged to review these terms periodically to stay informed of any changes.

11. Acceptance of Terms

By engaging our services or entering into any agreement with Pyxida Digital Business Development (Pty) Ltd., clients acknowledge that they accept and agree to be bound by these terms and conditions.
